Welcome to SkillWell (“SkillWell,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of the SkillWell website, platform, courses, content, and related services (collectively, the “Services”).

By accessing our website, creating an account, purchasing a course, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

For the purposes of these Terms, “you,” “your,” “Student,” or “User” refers to the individual accessing or using SkillWell.

1. About SkillWell

SkillWell provides online educational and skill-development courses through its website and related digital platforms.

Unless specifically stated otherwise on the relevant course page, SkillWell courses consist of pre-recorded video lessons and related digital learning materials.

Course content, curriculum, instructors, duration, features, and other details may vary from one course to another and will be displayed on the relevant course landing page.

2. Eligibility

You must provide accurate and complete information when creating an account or purchasing a course.

By using SkillWell, you confirm that:

• The information provided by you is accurate and up to date.

• You will use the Services only for lawful purposes.

• You will comply with these Terms and all applicable laws and regulations.

• You will not use another person's account or identity without authorization.

If you are under the age of 18, you should use the Services only with the involvement and consent of your parent or legal guardian, where required by applicable law.

3. Account Registration and Security

Some SkillWell Services require you to create an account.

You are responsible for maintaining the confidentiality of your login credentials, including your username, email address, and password.

Your SkillWell account is personal to you and is non-transferable.

You must not:

• Share your username or password with another person.

• Allow another person to access courses purchased through your account.

• Sell, transfer, rent, or otherwise provide access to your account to another person.

• Attempt to access another user's account.

• Circumvent or interfere with SkillWell's account-security measures.

You are responsible for activity carried out through your account.

If you become aware of unauthorized access to your account, you should notify SkillWell as soon as reasonably possible at care@skillwell.in.

4. Course Purchase and Access

When you purchase a course, you receive a limited, personal, non-transferable right to access and use that course for your own educational purposes, subject to these Terms.

Course access will generally be provided after successful confirmation of payment.

The duration and nature of access may vary depending on the course and the terms displayed on the relevant course page at the time of purchase.

SkillWell reserves the right to modify, update, replace, or discontinue particular course materials where reasonably necessary, including for educational, technical, operational, or legal reasons.

Where reasonably possible, we will seek to maintain the core learning experience associated with a purchased course.

5. Pre-Recorded Courses

Unless expressly stated otherwise on the relevant course page, SkillWell courses are pre-recorded courses.

Purchasing a course does not create an entitlement to:

• Live classes;

• One-to-one teaching;

• Personal mentoring;

• Live doubt-solving sessions;

• Guaranteed instructor interaction; or

• Any other feature that is not expressly included in the course description.

Before purchasing a course, students are encouraged to review the course landing page, including the course language, curriculum, lesson titles, course format, and other available information.

6. Course Content and Information

We make reasonable efforts to provide accurate and useful educational content.

However, educational content may be updated from time to time, and SkillWell does not guarantee that every piece of information will remain current, complete, or suitable for every individual or purpose.

The availability of particular lessons, resources, instructors, features, or materials may change over time.

The course description and information displayed on the relevant course page at the time of purchase should be considered when deciding whether a course is appropriate for you.

7. Course Outcomes

SkillWell provides educational and skill-development content. However, we do not guarantee any particular personal, academic, professional, employment, business, financial, or other outcome from completing a course.

Your results may depend on various factors, including your individual effort, prior knowledge, skills, circumstances, market conditions, and how you apply the information provided.

Purchasing or completing a SkillWell course does not guarantee employment, promotion, income, business success, examination results, admission, certification by an external organization, or any other specific result unless expressly stated otherwise.

8. Fees and Payments

Course prices are displayed on the relevant SkillWell website or course page.

You agree to pay the applicable price displayed at the time of purchase, together with any applicable taxes or charges where required.

SkillWell reserves the right to change course prices, discounts, offers, or promotions at any time. Any such change will generally apply to future purchases and will not automatically alter the price of a purchase already completed.

We may offer promotional discounts or special offers from time to time. Unless expressly stated otherwise, promotions cannot be combined with other offers.

If a payment is unsuccessful, reversed, disputed, or otherwise not received by SkillWell, access to the relevant course may be suspended or withheld until the payment issue is resolved.

9. Refund Policy

SkillWell provides refunds in accordance with its 7-Day Refund Policy.

Unless otherwise stated on the relevant course page or required by applicable law:

• A 100% refund may be requested if the request is initiated within 7 days of purchase.

• Refund requests initiated after 7 days of purchase will not be eligible for a refund.

• Refunds may be denied where a significant portion of the course has been consumed, watched, or downloaded before the refund request.

• Refunds will generally not be provided where the reason relates to the course language, curriculum, video topics, or other information that was clearly disclosed on the course landing page before purchase.

• Since SkillWell courses are generally pre-recorded, refunds will not be provided solely because a student expected live sessions where the course was clearly described as pre-recorded.

• Refunds may be denied where account access has been suspended or terminated because of a violation of these Terms.

• Multiple refund requests for the same course may be denied.

• SkillWell reserves the right to limit or deny refund requests where it reasonably believes that the refund policy is being misused or abused.

10. Intellectual Property

All content available through SkillWell, including but not limited to:

• Course videos;

• Video recordings;

• Course curriculum;

• Text and written materials;

• Presentations;

• PDFs;

• Images;

• Graphics;

• Logos;

• Designs;

• Website content;

• Audio;

• Software;

• Branding; and

• Other educational materials

is owned by SkillWell and/or its licensors, instructors, or other content providers and is protected by applicable intellectual-property laws.

Your purchase of a course does not transfer ownership of any course content or intellectual-property rights to you.

Unless expressly permitted by SkillWell in writing, you may not:

• Copy or reproduce course content;

• Record or screen-record course videos;

• Download course content except where a download option is expressly provided;

• Share course videos or materials with others;

• Upload course content to YouTube, Telegram, WhatsApp, social media, file-sharing platforms, websites, or other services;

• Sell, rent, sublicense, or redistribute course content;

• Republish or commercially exploit course content;

• Create and distribute substantially similar content using SkillWell's proprietary materials;

• Remove copyright, trademark, or other ownership notices; or

• Use SkillWell's content for purposes other than your own personal learning without written permission.

Unauthorized use of SkillWell's content may result in suspension or termination of your account and may also result in legal action where appropriate.

11. Limited License to Students

Subject to these Terms and successful payment, SkillWell grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the purchased course content solely for your own personal educational purposes.

This license does not give you ownership of the course or any underlying intellectual-property rights.

The license automatically ends if your course access is terminated or expires, or if you otherwise violate these Terms.

12. Prohibited Activities

You agree not to use SkillWell to:

• Violate any applicable law or regulation;

• Circumvent security or access restrictions;

• Attempt to gain unauthorized access to the website, platform, accounts, servers, or systems;

• Share or misuse account credentials;

• Distribute or pirate SkillWell content;

• Interfere with the operation or security of the Services;

• Introduce malware, viruses, or other harmful code;

• Scrape, copy, or systematically collect website or course data without permission;

• Misrepresent your identity or affiliation;

• Use SkillWell for fraudulent or deceptive purposes;

• Harass, threaten, abuse, or defame SkillWell staff, instructors, students, or other users; or

• Engage in any activity that could reasonably harm SkillWell, its users, instructors, or service providers.

13. Account Suspension or Termination

SkillWell may suspend, restrict, or terminate your account or course access if we reasonably believe that you:

• Have violated these Terms;

• Have shared your account;

• Have distributed or attempted to distribute course content;

• Have engaged in fraudulent activity;

• Have abused the refund process;

• Have interfered with the platform or its security;

• Have engaged in abusive or unlawful conduct; or

• Have otherwise misused the Services.

Where appropriate and reasonably possible, SkillWell may provide notice before taking such action. However, immediate suspension or termination may be necessary in circumstances involving security, fraud, piracy, unlawful activity, or significant violations of these Terms.

Termination or suspension does not automatically create a right to a refund.

14. Website Availability

We aim to keep SkillWell available and functioning properly. However, we do not guarantee that the website, platform, courses, or Services will always be available, uninterrupted, secure, or error-free.

Access may occasionally be interrupted because of:

• Maintenance;

• Technical problems;

• Server or hosting issues;

• Internet or telecommunications failures;

• Third-party service failures;

• Security incidents;

• Force majeure events; or

• Other circumstances beyond our reasonable control.

We may temporarily suspend or restrict access where reasonably necessary to maintain, repair, secure, or improve the Services.

We do not control third-party websites or services and are not responsible for their content, availability, security, privacy practices, or terms.

16. User Reviews, Feedback, and Submissions

If SkillWell allows users to submit reviews, feedback, comments, testimonials, questions, or other content (“User Content”), you are responsible for the content you submit.

You agree that your User Content will not:

• Violate any law;

• Infringe another person's intellectual-property or privacy rights;

• Contain defamatory, abusive, threatening, obscene, or unlawful material;

• Contain malicious code;

• Impersonate another person; or

• Be used to promote fraudulent or unlawful activities.

By submitting User Content, you grant SkillWell a non-exclusive, royalty-free license to use, reproduce, display, and publish that content for purposes connected with operating, promoting, improving, or providing the Services, subject to applicable law.

SkillWell may remove User Content that we reasonably believe violates these Terms or applicable law.

Your use of SkillWell is also subject to our Privacy Policy.

By using SkillWell, you acknowledge that you have reviewed the Privacy Policy.

• The Services will meet every user's individual expectations;

• Completing a course will produce a particular result; or

21. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including liability for fraud or any other liability that applicable law does not permit us to exclude.

If there is a conflict between these Terms and a specific course-specific term displayed at the time of purchase, the specific course term will apply to the extent of the conflict, unless otherwise required by applicable law.

27. No Waiver

If SkillWell does not immediately enforce any provision of these Terms, that does not mean that SkillWell has waived its right to enforce that provision in the future.
